This Man Just Fired A $26 Billion Missile At Your Cable Company

$

0

Charles Ergen

In a surprise move, satellite-TV operator Dish Network has made a $26 billion bid for Sprint, the U.S.'s third-largest wireless operator.

Sprint is already in the approval process to sell a majority stake to Japanese telecommunications firm Softbank.

Dish's bid is higher than Softbank's and may therefore trigger a bidding war between the two suitors.

Dish has offered about $7 a share for Sprint, with a mix of cash ($4.74 per share) and $2.26-worth of Dish stock. Dish's stock fell about 5% on the news, and the total value of the offer will continue to fluctuate based on Dish's stock price. Dish estimated that the initial offer was worth about 13% more than Softbank's offer.

The ultimate fate of Sprint, and the price of the winning deal, won't likely be known for months.

But Dish's bid represents the next big move in a tectonic shift that is revolutionizing the media and communications business.

Right now, the communications and media industries are dominated by six big groups of companies:

  • The landline telephone operators.
  • The wireless telephone and data carriers.
  • The cable TV and broadband Internet companies.
  • The satellite-TV operators.
  • The TV content companies.
  • The Internet content and services companies.

These groups of companies are all massive. And, until recently, they all operated within their own competitive silos.

But now that's all changing.

Now, thanks to the Internet, they're all smashing into one another in a slow-motion tectonic collision.

In the past decade, several of these groups of companies have moved into one another's businesses, either through acquisition or by launching secondary services.

Cable operators like Cablevision, Comcast, and Time Warner Cable, for example, have launched land-line phone services and begun marketing them with broadband Internet through popular "triple plays."

Landline telephone companies like Verizon have launched broadband Internet and cable TV services, competing directly with cable's bundles.

Cable operators have bought huge content companies (Comcast and NBC Universal).

Internet services companies like Google have begun offering high-speed Internet access services.

And so on.

And now, in the next stage of the industry's evolution, cable and satellite-TV companies are starting to team up with wireless carriers.

The goal of this latest trend is to be able to offer a single subscription that provides all content and communications services everywhere.

In a world in which people are increasingly using multiple devices in multiple places to communicate with each other and consume content, this is obviously a service whose time has come.

Why would a consumer maintain separate and limited subscriptions with a phone company, a wireless company, a pay-TV company, and a broadband Internet company if a single company could provide all of this for one simple price?

Answer: Most consumers wouldn't.

So it's not hard to imagine that, within a decade, we'll all be able to buy all of these services from massive integrated telecommunications services companies.

Dish's bid for Sprint is a step toward that future.

Dish wants to combine its satellite service and wireless "spectrum" licenses with Sprint's cellular capabilities and offer consumers a single subscription that takes care of their communications needs at home and on the go.

The service would allow customers to communicate, use the Internet, and consume a full range of TV content with any device anywhere.

Providing the mobile piece of this service would be relatively easy. Dish would simply have to extend its agreements with TV content companies to cover mobile distribution and then stream this content to customers on their mobile devices.

Providing the "home" solution could be more complicated. A consumer's mobile devices could certainly also be used in the home. But one challenge for the Dish-Sprint combination would be providing enough wireless bandwidth to the home that customers who unplugged their physical cable-broadband wires could watch a large amount of full high-definition video at home. Cable TV and high-definition Internet video both use massive amounts of bandwidth, and although wireless speeds are now perfectly adequate for video consumption, wireless carrying capacity is not.

Watching a single high-definition movie, for example, could chew through the data allowance for a standard "mobile data" subscription. And consumers who have gotten used to watching as many movies as they want with cable TV and a cable broadband subscription would likely balk at suddenly having to worry about how much video they consumed.

Obviously, Dish already offers an excellent "downstream" pay-TV service to its satellite customers, and it could presumably continue to offer this. But merging this service with wireless Internet video in a single, seamless bundle could be challenging. And if satellite delivery becomes a critical part of the DISH-Sprint home solution, this would require new subscribers to replace their cable connections with satellite dishes.

So even if Dish succeeds in taking over Sprint, the "Holy Grail" of a single communications service may still be a ways off.

But it's coming.

And when it arrives, it will change the telecom and media industries forever.

kamala harris

Barack Obama nailed it when he called California's top lawyer Kamala Harris "brilliant ... dedicated ... tough ... [and] by far the best-looking attorney general in the country."

While the President was criticized for acknowledging Harris's good looks, we don't think there's harm in pointing out that powerful lawyers can be sexy too.

Indeed, what is more sexy than a brilliant, successful, ambitious, and admirable lawyer who also has that certain je ne sais quoi?

With Harris in mind, we've created a list of practicing lawyers in America who have the whole package.

Jackie Robinson Movie '42' Hits 'Scary Movie 5' Out Of The Park—Here's Your Box-Office Roundup

$

0

jackie robinson 42Warner Bros. baseball film, "42," chronicling Jackie Robinson's career turned out to be a surprise hit this weekend.

The film earned more opening weekend than any other baseball movie based on a true-life story to date.

Meanwhile, things aren't looking well for the "Scary Movie" franchise.

The latest installment featuring Lindsay Lohan and Charlie Sheen earned the least amount of any film in the franchise.

Worth noting is Danny Boyle's small release "Trance" which jumped up nearly 20 spots on the box-office list this week.

Out of the top ten this week include the film adaptation of "The Host."

"Twilight" author Stephanie Meyers hoped her next film venture would take off much like her vampire romance. Instead, the film has fallen flat in its third weekend. The film, which cost an estimated $40 million to make has earned $45 million worldwide.

Also out of the top ten is Halle Berry's "The Call" and Tina Fey's "Admission."

Here are this week's winners and losers in Hollywood:

10. Ryan Gosling's "Place Beyond the Pines" sneaks in with $4 million to round out the top ten. The Ryan Gosling and Bradley Cooper film added 484 theaters to its 514 total count this weekend. Last weekend, the movie was earning $279,000 per theater. The film cost an estimated $15 million to make.

9. Tyler Perry's "Temptation" continues to fall from the top ten in week three with $4.5 million. The film, with Vanessa Williams and Kim Kardashian, has earned $45.4 million.

8. "Oz the Great and Powerful" earns another $5 million this week. In its sixth week, the Disney film featuring James Franco is closing in on $500 million at the box office worldwide.

7. "Olympus Has Fallen" dives two spots this weekend earning $4.9 million. Gerard Butler's return to action films has earned $87.2 million worldwide, but it's not a big hit overseas, with only $5.3 million in international ticket sales.

6. The 3D return of "Jurassic Park" to theaters brings in another $8.8 million. In its second week, the 1993 film has drawn $31.9 million.

5. The "Evil Dead" reboot drops four spots and 63% in week two earning $9.5 million. The Tri-Star horror film has earned $51.5 million worldwide in two weeks. Not bad for a film which cost an estimated $17 million to make.

4. "G.I. Joe: Retaliation" earns another $10.8 million in its third weekend. Dropping two spots this week, the sequel to the 2009 film has earned $270.7 million worldwide. At this point, it looks like "Retaliation" will beat out the $302.5 million worldwide total of "G.I. Joe: Rise of Cobra."

3. DreamWorks Animation's "The Croods" holds third place again this weekend with $13.2 million. The caveman flick featuring Nicolas Cage and Emma Stone has earned $385 million worldwide.

2. Lindsay Lohan's "Scary Movie 5" came in second opening weekend with $15.2 million. That's the lowest opening for the franchise since "Scary Movie 2" earned $20.5 million. The other three installments have grossed more than $40 million opening weekend.

1. Warner Bros. Jackie Robinson biopic, "42," is a home run smash with $27.3 million. The movie blew away the opening-weekend record for a baseball film based on a true story. In comparison, 2011's "Moneyball" from Sony Pictures earned $19.5 million upon its debut in September.

It might be 10 years since the last installment of "The Matrix" was released, but GE decided to use Agent Smith as the new spokesman for its campaign about the "brilliant machines" which help the medical industry.

Sure, Agent Smith is an agent of evil in the Matrix and here he's touting medical advances and offering kids lollipops ("red or blue?"), but other than that minor detail, it's a solid spot.

aubrey plaza will ferrell mtv movie awards

One of the strangest moments of the MTV Movie Awards last night was when "Parks and Rec" actress Aubrey Plaza ran onto the stage barefoot and attempted to pry the golden popcorn award for Comedic Genius from Will Ferrell's hands.

The moment appeared to be a failed stunt reminiscent of Kanye's 2009 VMA stage moment.

Though Farrell joked that the bit was staged, it turns out the act was an attempt at a publicity stunt for Plaza's upcoming film, "The To Do List," which the actress had written across her chest.

According to MTV, Aubrey was escorted out of the awards by network executives and the head of Viacom security during the following upcoming break.

The film, out August 16, follows Brandy Clark (Aubrey Plaza) as she attempts to accomplish a list of items before heading to college in the fall.

The movie also stars Bill Hader, Rachel Bilson, Andy Samberg, and Connie Britton.

Here's another shot showing the awkward tension on stage:

''I'm sure anyone that has worked with me would agree that it's not true,'' the Australian supermodel told the Sydney Morning Herald.

Kerr did confirm reports that she was too busy to be a full-time Angel.

"I'm just not in a position to commit to a full contract at this time,'' Kerr said. "It's three months at a bare minimum."

JUSTIN BIEBER: Anne Frank Would Have Been A 'Belieber'

Justin Bieber

It’s been a busy few weeks for Justin Bieber.

His pet monkey was quarantined in Germany, he attacked a photographer, got kicked out of a Paris hotel and rolled up two hours late for his opening night at the London O2, leaving thousands of “Believers” to stagger home at midnight on a school night.

All in all, that’s pretty standard stuff for a pop star coping with adulation and adolescence. Teen idols, after all, occupy an entirely different universe. Shenanigans are in the script and colossal egos make them the entertainers they are. Stay tuned to see Justin shave his head, smoke a tropical cigarette and book into rehab.

But in the eyes of many, this once wholesome starlet has transformed from Cliff Richard to Keith Richards in under a year. Now, it seems, he can’t do good for doing bad.

The 19-year-old’s latest blunder took place in the unlikely setting of the Anne Frank House in Amsterdam last Friday. After touring the museum for an hour, he wrote in the guestbook that he hoped the Jewish teenager (who died in 1945 at Bergen-Belsen, aged 15, from typhus and malnutrition after hiding from the Nazis with her family for two years) “would have been a Belieber” – a fan of his.

Cue the collective Twitter cringe.

Yes, it was a crass, silly, self-obsessed thing to write. Using Anne Frank’s memorial book to self-promote requires a rare brand of teenage arrogance. And yes, Justin probably deserves much of the stick he’s getting on Twitter (“‏Justin Bieber also believes Primo Levi would have really enjoyed ‘One Less Lonely Girl’… thanks @Jeffrey Goldberg).

Justin’s words may not have been particularly inspiring or sympathetic, but they certainly weren’t malicious. They were simply the clumsy thoughts of a young man lacking the eloquence to write or sing anything more profound than, “Baby, baby, baby, oh, like baby, baby, baby.”

Thanks to his 37 million devoted Twitter followers (he recently overtook Lady Gaga as the site’s most popular user), Justin has unintentionally become the best thing to happen to Holocaust awareness since Schindler’s List. Thanks to a self-centered teenager’s inane comment, 37,569,749 young people around the world are learning a little about the life of Anne Frank – a true teen idol if there ever was one. (Bieber’s Twitter following has increased by more than 10,000 in the hour I’ve been writing this).

Had she been born at the turn of this century, Anne may well have been a Belieber. She was certainly a pop culture fan, (“I long to ride a bike, dance, whistle, look at the world, feel young and know that I am free”). Last month, aged 84, she may have been seen hurrying with her grandchildren to catch the last Jubilee Line train from the 02, thanks to Justin’s rock ‘n’ roll tardiness.

Sadly, all we are left with is her diary, which stands as a testament to what youthful spirit can overcome.

Perhaps, thanks to their hero’s silly words, a handful of Beliebers will download her diary and begin to appreciate how only time and good fortune separates them from Anne’s fate.

We’ll never know what Anne Frank would have thought of Justin Bieber. But today, 68 years after her death, young people are clearly still profoundly touched by her story – however ineloquently they express it.

The Boston Marathon bombing attack may have shaken up the nation, but it didn't stop people from attending sporting events and concerts. Rock band Muse played Madison Square Garden on Monday night to an enthusiastic crowd.

During the show, Muse lead singer Matthew Bellamy called out "This is for Boston!" and played the National Anthem, The Star-Spangled Banner.

There was understandably a nervous energy about being part of such a large group the day of a horrendous attack, but when the National Anthem played the crowd erupted in solidarity.

It was a wonderful moment of tribute on a very difficult day for Americans.

Remember, keep calm and carry on.

Robert Downey Jr. Took Home An Astounding Paycheck For 'The Avengers'

$

robert downey jr gq

Last May, The Hollywood Reporter claimed Robert Downey Jr. was bringing home a big $50 million check—or larger—for his role in "The Avengers" after all bonuses and compensations were accounted.

In the upcoming May issue of GQ, the "Iron Man 3" actor admitted he indeed did receive that big of a payday with a smile and a simple, "Yeah."

"Isn't that crazy?" said Downey Jr. "They're so pissed. I can't believe it. I'm what's known as 'a strategic cost.' "

It's not a surprise that "Iron Man" actor Robert Downey Jr. would take home a big paycheck.

"The Avengers" went on to become the highest-grossing movie of the year, earning more than $1 billion at theaters worldwide.

However, compared to Downey Jr., his "Avengers" costars earned nowhere near his salary.

Chris Hemsworth, Chris Evans, Jeremy Renner, and Mark Ruffalo reportedly earned between $2-3 million with bonuses, according to The Hollywood Reporter.

Samuel L. Jackson and Scarlett Johansson were reported to earn $4-6 million.

Downey Jr. also hinted he may not be up for anymore "Iron Man" sequels. The injury he sustained on set which delayed production for the third film made him consider what else the 47-year-old actor wants to do with his career.

"It got me thinking about how big the message from your cosmic sponsor needs to be before you pick it up," said Downey Jr. "How many genre movies can I do? How many follow-ups to a successful follow-up are actually fun?"

Right now, he says he doesn't have a contract to do anything, whereas, for the past five years he's been signed.

However, he admitted it won't be easy to walk away.

"Here's the thing. At whatever point I'm done with this, I'm going to have a bit of a crisis, because I probably haven't even fully ingested how much I've enjoyed it, how much it's meant," said Downey Jr. "It so came out of kind of relative obscurity as this second-tier character from the Marvel universe, and I feel I was part of making it something more."

Read the full GQ article with Downey Jr. HERE.

"Iron Man 3" hits theaters May 3.

Jamie Foxx Is Completely Blue As The Villain In 'Amazing Spider-Man' Sequel

The first images of Jamie Foxx as the "Amazing Spider-Man" sequel villain have hit the web.

Foxx was filming scenes for upcoming film in New York last evening, and looked completely unrecognizable in blue makeup as Electro.

The actor confirmed last year he would be playing the electricity-controlling Spidey foe.

Check out some of the images below:

If you're a Spider-Man fanatic, you're most likely more familiar with the version of the villain in a green and yellow costume

However, at the end of last year Foxx told MTV the new version of Electro would be different from the comics.

"They know that it has to make sense in 2013, so the suit is really slick," Foxx told MTV. "It's actually black. It's a new age."

Die-hard fans will know this confirms that Foxx will be the "Ultimate" blue version of Electro making him part of the Ultimate Marvel universe.

Here's everything we know about Ultimate Electro:
